Compensation
- Compensation will vary according to services provided.
- Payments are made within 45 days of service completion.
Service Contract Agreement
Conduct personalized tours and orientations for domestic and international assignees.
You will assist domestic assignees with a personalized city tour and orientation, rental
assistance, and getting acclimated to the area. You will assist international assignees
with an area tour and orientation, rental assistance, obtaining a driver’s license,
obtaining a social security/insurance card, opening a bank account, and getting acclimated
to the area.
Non-Disclosure Agreement Section
Any and all data and information about the Company’s business that comes to Candidate’s attention by reason of Candidate’s relationship with the Company that is not generally known to or readily ascertainable by others, including, but not limited to, all products and service information, pricing, client lists and lists of potential clients, and all records and copies of records that contain such information (“Confidential Information and Records”), will be received by Candidate in confidence.
Candidate agrees to keep confidential and not to disclose any such Confidential Information and Records to anyone except the Company or the Company’s authorized representatives. Candidate further agrees to use the Confidential Information and records only in the course of interviewing with and his or her duties as a Candidate and potential Contractor of the Company.
All records and copies of records of the Company are and shall remain the property of the Company,
and Candidate agrees to keep such documents subject to the Company’s custody and control, and to
return promptly to the Company all records, copies of records and all other property of the Company
that are in Candidate’s possession or under his control or custody at the termination of the relationship.
In addition to the other relief to which it may be entitled, the Company shall be entitled to recover
from Candidate the costs and reasonable attorneys’ fees it incurs in any action it brings to enforce
the Agreement in which it prevails.
All print material used in serving clients or preparing to serve the Company’s clients or potential
clients remains the property of GO Companies and may not be duplicated without written authorization.
Candidate may not compete against the Company by any means. Non-compete is effective for two years
after date of signature. The manner in which the Company goes about developing, serving, building, and
maintaining client relationships must remain confidential and unduplicated.
If the candidate/contractor is a licensed Real Estate Agent, the candidate's/contractor's personal Real Estate ventures not affiliated with GO Companies(its name, process, or procedures) is still permitted. Should any clause, portion or paragraph of this agreement be unenforceable for any reason, such unenforceability shall not affect the enforceability of the remainder of this Agreement.
Indemnification
CONTRACTOR shall indemnify and hold harmless GO, its officers, directors, employees, and agents from and
against all claims, liabilities, obligations, suits, causes of action, or expenses (including reasonable
attorneys’ fees) (collectively “Claims”) to the extent arising out of or caused by, directly or indirectly,
(a) any negligent act, error, or omission, gross negligence or willful misconduct by CONTRACTOR a consultant
or subcontractor of CONTRACTOR or their respective employees, agents or subcontractors; (b) the Work Product
infringing any copyright or other proprietary right of a third party; (c) the misuse or unauthorized use by
CONTRACTOR, a consultant or subcontractor of CONTRACTOR, or the irrespective employees, agents or subcontractors
of Confidential Information; (d)a breach of this Agreement (including a breach of any representation or
warranty) by CONTRACTOR; and (e) any Claims for payroll taxes, interest, penalties or other governmental
charges or employee benefits that GO may incur with respect to any and all Claims arising out of, or related
to, the performance of Services. GO shall indemnify and hold harmless CONTRACTOR, its officers, directors,
employees, and agents from and against all Claims to the extent arising out of or caused by, directly or
indirectly (a) any negligent act, error, or omission, gross negligence or willful misconduct by GO, a
consultant or subcontractor of GO, or their respective employees, agents or subcontractors; or (b) a breach
of this Agreement by GO. The contractor and GO Destination Service's acknowledge and agree that in performing
services under this Agreement, contractor will be acting solely as an independent contractor and shall not
be deemed to be an employee of company for any purpose. GO shall not withhold any taxes, pay any Social
Security or unemployment compensation or insurance for, contribute to any pension plan or otherwise provide
any benefits to contractor.
